About us

We are a Polish manufacturer of transformers, inductive components, filters and power supply units.

We have been cooperating with our customers for years, offering support and technical assistance during the selection and operation of our equipment. We employ experienced staff and engineers, which enables us to undertake technically difficult tasks. We develop our product range and improve the production technology in cooperation with numerous research centres.

Our aim is to produce top quality equipment that fully meets the needs of our customers. In pursuit of this goal, we are implementing ISO 9001, ISO/TS 22163 and ISO 14001 production management systems to confirm the quality of our products.

We manufacture separation, safety, isolation and power transformers for:

TRAFECO Sp. J., responding to the high demands of the Polish market, strives consistently and decisively to achieve a permanent leadership position among companies designing and manufacturing low and medium voltage products. Our mission is to build the Company’s image as a reliable manufacturer of equipment for the mining, metallurgical, medical, shipbuilding and railway industries.

This Policy plays a leading role in our organisation’s strategy. Technical security policy

Trafeco Spółka Jawna, in order to continually improve the quality of its services and for the benefit of its current and potential clients, establishes and implements a Technical Security Policy.

The Company’s Management Board declares that the production is carried out in supervised and safe conditions (appropriate lighting, heating and the use of production equipment compliant with legal and customer requirements) and that all employees are aware that the tasks they perform affect the technical safety of the product and that they are responsible for the product.

In order to achieve the objectives outlined above, the following safety objectives shall be established:

not to accept orders for execution where the fulfilment of all quality requirements set by the Clients is doubtful or impossible, unless the Customer agrees to this,
building awareness among employees and suppliers of their impact on the technical safety of the product,
in the event that, for a variety of reasons, an order is accepted whose quality requirements cannot be fully met by our company, to strive to minimise the negative effects of this decision,
increase product reliability based on statistical analyses conducted in accordance with the Company’s RAMS and LCC procedures,
Setting and achieving safety objectives for the products and services provided,
improving the level of process safety, environmental protection and equipment reliability.

We declare that this Technical Safety Policy is part of the Company’s operating strategy and that its assumptions are periodically reviewed and verified. We firmly believe that the implementation of this Technical Security Policy will increase the satisfaction of our existing customers and that our responsible attitude will help to win new customers. General Terms and Conditions of Sale and Delivery

§1. General provisions

The General Terms and Conditions of Sales define detailed rules for conclusion of contracts of sale and delivery of goods offered by TRAFECO Spółka Jawna Artur Strug – Mirosław Łukiewski with its registered office in Boronów, ul. Dolna 4, 42-283 Boronów (Poland).
The General Terms and Conditions of Sale form an integral part of all contracts of sale and delivery of goods concluded with TRAFECO Spółka Jawna Artur Strug – Mirosław Łukiewski with its registered office in Boronów, ul. Dolna 4, 42-283 Boronów, and shall apply to them, unless otherwise expressly agreed by the contracting parties.
Any deviation from the application of these general terms and conditions of sale shall be made in writing under pain of nullity.

§2. Offers, orders, contracts

OFFERS
1. Offer shall be consider as binding for the seller and the purchaser only if made in writing.
2. Information contained in advertisements (including catalogues, flyers, etc.), unless expressly stated to be binding, is of a non-binding nature.
3. Data and information contained in general product documentation, catalogues, drawings, website descriptions and price lists are only binding if the offer or contract explicitly refers to them.
4. Any additional offer arrangements shall be made in writing or electronically – otherwise they are null and void.
ORDERS
1. Contracts between the parties shall be completed according to the order placed by the purchaser to the seller only in writing or electronically by a person authorised to place orders on behalf of the purchaser.
2. The sales contract shall be concluded as soon as the seller confirms in writing that the order has been accepted.
3. Confirmation of order acceptance shall not be issued until all details of the order have been agreed.
4. Order confirmation containing data other than that contained in the order shall be deemed to have been accepted by the seller if the purchaser does not raise any objections within two working days of receipt of the confirmation.
PRICES
1. The prices specified in price lists, offers and confirmations are net prices (excluding VAT). Prices do not include customs duties, insurance costs or any additional charges.
2. The prices quoted include the goods and their standard packaging. An additional fee may be charged if additional or non-standard packaging is used. Packaging is not returnable.
3. Prices do not include transport costs. This value will be provided in each case at the purchaser’s request.
4. In domestic trade, the price may be quoted in PLN or as the equivalent of a specific amount expressed in a foreign currency.
5. The seller may apply discounts by prior agreement with the purchaser.
6. Invoices issued by the seller shall become due and payable on the date stated on the invoice. The day of payment shall be deemed to be the day of payment made in cash, by certified cheque or the day on which the amount of payment is credited to the seller’s account; payments shall only be deemed as paid only if made full.

§3. Delivery times and delivery of goods

Lead times shall be set out in the order confirmation and are for information purposes.
The order completion date may be extended by the duration of the hindrance caused by circumstances beyond the seller’s control. In such case, the seller shall inform the purchaser of the new completion date.
Failure, by the seller, to deliver within the stipulated period shall not entitle the purchaser to withdraw from the contract and to claim damages from the seller, nor shall it constitute grounds for the purchaser to fail to fulfil any other obligations towards the seller.
The seller reserves the right to withhold delivery, production of the ordered products by the purchaser in the event of the purchaser’s failure to fulfil any other obligations of the purchaser towards the seller.
In the case of delivery by transport organised by the purchaser, the seller shall notify the purchaser of the availability of the prepared goods in their warehouse and the purchaser shall collect the goods immediately. If the purchaser is late in collecting the goods, the seller may charge the purchaser for storage costs.
In the absence of a specific agreement between the parties, delivery shall take place according to the seller’s standards.

§4. Assumption of ownership / risk / liability

The seller reserves ownership of the goods until the price has been paid in full, unless the parties have agreed otherwise separately in writing.
The risk of delivery of the goods shall be transferred to the purchaser when the goods are handed over to the person authorised to receive them, including the forwarder or carrier.
If the purchaser is in arrears with payment for the goods, the purchaser shall immediately and unconditionally hand over the delivered goods in full to the seller at the seller’s request.
The request for and collection of the goods by the seller shall not – unless otherwise agreed by the parties – cause the seller to withdraw from the delivery contract, but shall only serve as a security for the fulfilment of the purchaser’s obligations towards the seller.
The seller cannot be held liable for non-fulfilment of his obligations to the purchaser if their fulfilment is hindered by, among other things: fire, explosion, natural disaster, war, social unrest, state of emergency, currency restrictions, embargoes, labour conflicts, lack of means of transport, lack of raw materials, shortages or delays in deliveries from sub-suppliers and other situations over which the seller has no control.

§5. Warranty/Complains

All of the company’s products are covered by a 12-month warranty period starting from the date of issue of the sales document. The conditions and scope of the warranty depend on the type of goods sold and are specified in the warranty document enclosed by the seller with the goods. For selected products, it is permissible to extend the warranty period, which involves additional, individually agreed surcharges on product prices. The agreement of a longer warranty period than the standard one is only possible up to the moment of order placement by the purchaser and requires confirmation by the seller.
The purchaser is obliged to check the goods on collection. The purchaser shall immediately notify the seller of any defects found, both in terms of quantity and quality, otherwise the guarantee, warranty rights or potential further compensation claims shall be void.
The basis for dealing with a complaint is the sales invoice issued to the purchaser. The company shall not be liable for shortages caused by negligence or mishandling of the goods at the purchaser’s supplier or sub-supplier.
If, during use, a delivered product or part thereof is found to have a latent defect, the seller shall investigate the complaint.
The processing period for a complaint is 14 days from its written submission. At the same time, the seller may inform the purchaser that the delivered goods have no latent defect and refuse to accept the complaint. If the delivered goods are found to have latent defects and it is necessary to re-manufacture the product or to import non-standard components, the time for processing the complaint may be extended. In such a case, the seller shall inform the purchaser of the date on which the defect-free goods will be delivered.
The handling of the complaint shall be deemed to be the refund of the goods, the rectification of defects, a price reduction or the delivery of new, defect-free goods.
The seller shall repair the damage only if the purchaser can prove that the goods have been stored, installed, used and maintained in accordance with the requirements set out in the goods’ technical documentation.
Regardless of the basis, the seller’s liability shall not include any indirect damage, in particular such as loss of use of the product, loss of production, loss of profits or loss of customers. The seller’s liability for all damage, irrespective of the basis of the seller’s liability, and in particular those resulting from non-performance or undue performance of the contract, is limited to two times the net value of the sold goods to which the purchaser’s damage is related.

§6. Technical reservations

The seller reserves the right to make design changes to the commercial goods.
Technical specifications are subject to changes due to production technology.

§7. Final provisions

These terms and conditions and contracts between the parties shall be governed exclusively by Polish law. In matters not covered by the provisions of these terms and conditions, the provisions of the Polish Civil Code shall apply accordingly.
All amendments to these terms and conditions and changes to the agreements between the parties shall be made in writing to be valid.
The contracts concluded between the parties shall be completed at the seller’s registered office.
Any disputes between the seller and the purchaser shall first be settled amicably, then by the court having jurisdiction over the seller’s registered office.

General Terms and Conditions of Purchase

I. General provisions

These General Terms and Conditions of sale shall be binding upon the Sellers in their entirety, unless the Parties have expressly excluded the application of certain of their provisions in writing.
TRAFECO requires that the invoice be delivered in printed form or electronically to the following address: efaktury@trafeco.pl
An order shall be completed upon delivery to TRAFECO Sp. j. of the goods conforming to the order along with all documents required by the Buyer.
The Seller undertakes to notify TRAFECO Sp. j. of planned and/or made changes to the product to be supplied. Any changes made to the product should be fully traceable and be approved by a representative of TRAFECO Sp. j.
TRAFECO Sp. j. shall be entitled to withhold payment of the invoice delivered in the event of incorrect content. The payment period shall run from the date on which the relevant deficiencies are remedied.
With the delivery of the goods, the Seller is obliged to provide a transport document (waybill appropriate to the type of transport together with a specification of the shipment).
The Seller shall put the order number on the transport document and on other documents related to the order completion such as letters, invoices, quality certificates and declarations of conformity.
The Supplier guarantees that it has suitably qualified personnel, infrastructure and competences capable of ensuring the required quality and compliance with the specified requirements of the Company.
In the absence of any agreement to the contrary between the Parties, the value of the order shall include the value of the ordered goods together with all documents and their packaging and delivery to TRAFECO Sp. j.
Trafeco reserves the right to access the Buyer and its Customers to its premises and to access the documented information in order to carry out third-party audits, to supervise the project work in progress, to check the correctness of the execution of special processes, to approve special processes carried out by the supplier.

II. Order Confirmation

In case of an order placed by the Seller, who has a permanent business relationship with TRAFECO Sp. j., the Seller shall confirm the order within 3 working days, the absence of a response to the order shall mean acceptance of the order for execution on the terms and conditions specified in the order (permanent business relationship shall mean the continued execution of the order TRAFECO Sp. j. or repeated business contacts at least 3 times during the 12 calendar months preceding the order).
The seller who is not in regular business relations with TRAFECO Sp. j. is obliged to confirm the acceptance of the order in writing (Confirmation of Order) within 5 working days, unless otherwise agreed between the parties. After expiry of the aforementioned period, the Order shall no longer be binding for TRAFECO Sp. j.
In the event that the Order Confirmation, in any respect, contains terms inconsistent with the conditions of the Order, TRAFECO Sp. j. shall have the right, within 5 working days of receipt of the Order Confirmation, to declare whether it accepts the execution of the order on the terms modified by the Seller. The statement of TRAFECO Sp. j. may be sent to the Seller by e- mail, fax or any other means of remote communication.
In the event of a discrepancy between the order placed by TRAFECO Sp. j. and the Seller’s invoice, the order data shall be deemed agreed upon.
The Seller shall be obliged to notify TRAFECO Sp. j. of the readiness of the Goods for shipment by e-mail, fax or any other means of remote communication at least 3 working days before the scheduled date of delivery of the goods.

III. Delivery times and delivery of goods

Payment for the ordered Goods shall be made on the basis of the invoice sent/delivered.
The invoice or e-invoice shall be delivered to TRAFECO at the latest on the day of delivery of the goods.
Deliveries of goods are accepted at TRAFECO Sp. j. during warehouse opening hours, i.e. 7.00-15.00.
TRAFECO Sp. j. allows for the possibility of accepting delivery outside the opening hours of the warehouses, provided this is agreed in advance between TRAFECO Sp. j. and the Seller.
The quantitative control of the delivered goods as well as its condition after transportation shall be carried out immediately after delivery to the warehouse of TRAFECO Sp. j., by comparing the conformity of the delivery with the transport documents and the order and by visual inspection of the external condition of the goods.
If the quantity of goods does not correspond to the transport documents and the order, or if the delivered goods are damaged, TRAFECO will mark this discrepancy on the transport documents. In the event that the delivery does not comply in terms of quantity or quality with the terms of the Order, TRAFECO Sp. j. shall inform the Seller by e-mail, fax or other means of remote communication.
The seller is obliged within 3 working days from the date of notification of non-conformity by TRAFECO Sp. j. to deliver at its own expense the missing parts of the delivery or replace the defective goods with new goods free of defects.

IV. Warranty/Complains

The Seller shall bear full civil and financial liability for the consequences and effects of defects in the goods revealed or arising during the guarantee or warranty period due to the incorrect Quality of the delivered goods.
Should there be a defect in the goods within the guarantee or warranty period, TRAFECO Sp. j. shall inform the Seller of this fact in writing (by e-mail, fax).
The seller is obliged to remove the defect within 3 working days of receipt of notice from TRAFECO Sp. j. During the warranty or guarantee period the Seller may reject the above-mentioned claim of TRAFECO Sp. j. only if it proves that the defect of the goods was caused by TRAFECO Sp. j. due to improper use of the goods contrary to the instructions and documents provided by the Seller. If, during the guarantee or warranty period, the delivered goods are three times affected by a defect for which the Seller is responsible, the Seller shall replace the defective goods with goods free of defects at his own expense. The Seller’s warranted obligations shall be fulfilled at the location indicated by TRAFECO Sp. j. The Supplier shall be obliged to report any defect in the goods, specifying the reason for the defect and how it was rectified, no later than 2 weeks after being informed of the defect.
The guarantee or warranty shall be extended by the time between notification of a defect in the goods and its removal.
If the faulty goods are replaced with new ones, the guarantee or warranty period starts from the beginning.
Should the Seller fail to remove a defect reported within the guarantee or warranty period within the deadline, TRAFECO Sp. j. has the right to remove the defect itself or have it removed by a third party at the expense of the Seller, without losing the rights under the guarantee or warranty.
The Seller shall be liable for damage resulting from any delay, damage or loss of goods caused by incorrect packaging, labelling or identification of the shipment.
WIn the event of improper performance of the Seller, including in the case of delay in the implementation of the order or in the removal of defects in goods, TRAFECO Sp. j. has the right to charge the Seller a penalty of 5% of the contract value for each violation, and in the case of delay in the implementation of the order or in the removal of defects in goods in the amount of 1% of the contract value for each day of delay. Payment of the penalty shall not release the Seller from his obligation to fulfil his liability. If the delivery of the goods is delayed by more than 30 days, the Purchaser shall have the right to withdraw from the order the part of the delivery not carried out on time.
Should TRAFECO Sp. j. be in default in payment of the price, the Seller shall be entitled to claim statutory interest from TRAFECO Sp. j.
Should the penalties fail to cover the damage incurred, TRAFECO Sp. j. may claim additional compensation. TRAFECO Sp. j. shall be entitled to inspect the processing of its orders with the Seller also in the presence of the recipients of TRAFECO Sp. j. products.

V. Confidentiality

The provision of order-related information to third parties by the Seller requires the written consent of TRAFECO Sp. j.
The transfer of rights and obligations of the seller resulting from the execution of the order shall require the written consent of TRAFECO Sp. j.

VI. Disputes

Any disputes relating to the order shall be settled by the competent court for TRAFECO Sp. j.
